Elon Musk and Tesla sued over 'funding secured' tweet

Tesla and Elon Musk were sued twice on Friday by investors who say they fraudulently engineered a scheme to squeeze short-sellers, including through Musk’s proposal to take the electric car company private.

The lawsuits were filed three days after Musk stunned investors by announcing on Twitter that he might take Tesla private in a record $72bn transaction that valued the company at $420 per share, and that “funding” had been “secured”.

In one of the lawsuits, the plaintiff Kalman Isaacs said Musk’s tweets were false and misleading, and together with Tesla’s failure to correct them amounted to a “nuclear attack” designed to “completely decimate” short-sellers.

The lawsuits filed by Isaacs and William Chamberlain said Musk’s and Tesla’s conduct artificially inflated Tesla’s stock price and violated federal securities laws.

Short-sellers borrow shares they believe are overpriced, sell them, and then repurchase shares later at what they hope will be a lower price to make a profit.

Such investors have long been an irritant for Musk, who has sometimes used Twitter to criticize them.

Musk’s tweets on 7 August helped push Tesla’s stock price more than 13% above the prior day’s close.

The stock has since given back more than two-thirds of that gain, in part following reports that the US Securities and Exchange Commission had begun inquiring about Musk’s activity.

Musk has not offered evidence that he has lined up the necessary funding to take Tesla private, and the complaints did not offer proof to the contrary.

But Isaacs said Tesla’s and Musk’s conduct caused the volatility that cost short-sellers hundreds of millions of dollars from having to cover their short positions, and caused all Tesla securities purchasers to pay inflated prices.

Tesla’s market value exceeds $60bn and its shares closed on Friday up $3.04 at $355.49.

According to his complaint, Isaacs bought 3,000 Tesla shares on 8 August to cover his short position.

Interesting read - as are some of the twitter responses. In order to discuss this intelligently, I will need to educate myself on this subject a bit more. I realize this is a Socialist point-of-view. There are many varieties of Socialism, perhaps there is a way to build on this to make it work. I don't know if UBI (universal basic income) is the answer, but perhaps something that can be built-on. I think it's a travesty...the idea of so many working to sustain a home, medical expenses, food and other basic necessities leaving no time to spend on their self, family, friends or just things that the love to do.

Perhaps my thoughts on this are antiquated. Are those in the younger generation(s) satisfied with the idea of living this way until they reach the age of retirement? I know this isn't something the young find worthy to think about now, but they should.

When I worked for the local government, they would spam employees with emails offering a 'discount' to attend a local for-profit university. I investigated to see what it would cost to obtain a BA which was $80K - 5 yrs. ago, (this amount did not include the interest on a loan). The jobs the local government, (that required a BA), offered paid $16 hr. It's laughable to think of how individuals can repay $80K student debt in addition to a mortgage and basic needs to sustain yourself and family. One might argue that the 'benefits' that are included make it worth it, not true...the benefits offered to government employees aren't what they were, in the past. It is a vicious cycle and I sincerely feel sorry for those who fell for it.

Image Perhaps I'm just soured by my opinion of the quality of education resulting from the for-profit schools. I can't tell you how many times those with for-profit degrees had asked me to proof their work. I have no degree, but have 20+ years as a contract specialist, (construction law), but I did not qualify for a local gov job as a Federal 'grants specialist', (which was the same type of work), because I don't hold a BA. What made this worse...if I didn't oblige those asking for proofing/reviewing their work - I would have been labeled as having a bad attitude. This would have resulted in 'silent harassment' used by the gov to push you out. I've seen it all...

To add to my post, above. Perhaps a UBI (universal basic income) can be offered in some form by offering UBI as a perk; in addition to wages to rebuild our antiquated electrical grid. Installing a clean grid. UBI to also be offered during research & development and training. :lol: I just tweeted the idea to that orange drymount that wants to spend trillions on Space Force.

Parts of this network are more than a century old -- 70 percent of the grid's transmission lines and power transformers are over 25 years old, and the average age of power plants is over 30 years old. Today, our electricity needs are more sophisticated and the strain on the grid is higher than ever.
